By accessing or using virtuemedkc.com (the “Site”), you (“user,” “visitor,” or “patient”) agree to be bound by these Terms of Service (“Terms”) and all applicable federal and state laws, including the laws of the State of Missouri. Please read these Terms carefully before using our Site or submitting any information through our online forms.

1. No Doctor-Patient Relationship Established via Site Use

The informational content, graphics, text, and materials provided on this Site are for general educational and administrative purposes only. Your use of this Site, including the submission of electronic contact forms, appointment requests, document requests, or symptom checklists, does not establish a formal physician-patient or clinical relationship between you and Virtue Medical Clinic or any of its licensed healthcare professionals.

 

Submission of symptom checklists, self-reported information, or other online forms does not constitute a medical interview or examination sufficient to establish a physician-patient relationship or support diagnosis or treatment. Such forms are for administrative screening and intake purposes only and do not replace a clinical evaluation.

 

A formal clinical relationship is established only upon the mutual execution of a distinct, written Direct Primary Care (DPC) Patient Membership Agreement and completion of an initial clinical intake enrollment appointment.

2. Online Forms and Administrative Documentation Requests

Our Site provides convenient electronic forms enabling users to request appointments, complete screening checklists, and request administrative documentation (including Family and Medical Leave Act (FMLA) paperwork, physician verification letters, or employer return-to-work authorizations). By utilizing these online forms, you understand and explicitly agree to the following operational policies:

  • No Guarantee of Immediate Delivery or Action: Digital submissions made through Wix forms are routed to our clinic's secure systems. However, submission does not guarantee instantaneous delivery, receipt, or clinical response.

  • Processing Timelines: All administrative documentation requests are processed strictly during standard clinic business hours. Standard processing for FMLA and physician letter requests requires a minimum of five (5) to seven (7) business days from the date of confirmed receipt by clinic staff, unless otherwise specified in your distinct DPC Patient Membership Agreement.

  • Liability for Deadlines: Virtue Medical Clinic, its contractors, and staff assume no operational or legal liability for missed employer deadlines, employment disruptions, loss of benefits, or administrative consequences resulting from technical transmission failures, internet latency, or delayed form execution. You are solely responsible for following up directly with the clinic office via phone at (816) 200-1533 to confirm receipt of time-sensitive paperwork.

  • Accuracy of Information: You certify that all self-reported information, symptom checklists, and identity details provided via the Site are accurate, true, and complete. Providing fraudulent or intentionally misleading information may result in the refusal of administrative services or termination of your patient membership.

3. User Privacy and Form Security Acknowledgement

We maintain strict administrative, physical, and technical safeguards to protect data submitted via our website forms in accordance with our Privacy Policy and Notice of Privacy Practices. Our Site is built on a framework designed to maintain compliance with the Health Insurance Portability and Accountability Act (HIPAA). Form submissions for established patients are integrated with our secure electronic medical records (EMR) system, Atlas. We maintain Business Associate Agreements (BAAs) with applicable vendors, including Wix where required.

 

However, you acknowledge that transmitting information across the public internet carries inherent security risks. By checking our required agreement boxes and submitting personal information online, you assume these ambient risk vectors and authorize Virtue Medical Clinic to transmit your form input to our secure administrative and clinical processing endpoints. 4. Use Restrictions and Intellectual Property

All content on this Site, including but not limited to text, logos, custom images, layout structures, and software code, is the exclusive intellectual property of Virtue Medical Clinic or its content creators and is protected by United States copyright, trademark, and trade dress laws. You are granted a limited, non-exclusive, revocable license to access the website for personal, non-commercial use. You may not copy, scrape, modify, distribute, or reverse-engineer any portion of the Site without our express written consent.

5. Disclaimers of Warranties

THIS SITE AND ALL SERVICES, FORMS, AND CONTENT CHANNELS INTEGRATED INTO IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SITE WILL OPERATE WITHOUT INTERRUPTION, ERROR-FREE, OR THAT TRANSMISSION DEFECTS WILL BE INSTANTANEOUSLY CORRECTED.

THIS LIMITATION APPLIES REGARDLESS OF WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL BASIS, EVEN IF THE CLINIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Indemnification

You agree to defend, indemnify, and hold harmless Virtue Medical Clinic, its owners, officers, clinicians, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to reasonable attorney's fees) arising directly or indirectly from your violation of these Terms, your misuse of the Site's public forms, or your infringement upon any third-party rights.

8. Governing Law and Jurisdiction

These Terms, your use of the website, and any legal disputes or actions arising out of or relating to this Site shall be governed exclusively by and construed in accordance with the laws of the State of Missouri, without giving effect to any principles of conflicts of law. Any formal legal proceeding related to these Terms or the Site must be filed and adjudicated exclusively in a court of competent jurisdiction located in Jackson County, Missouri, or the United States District Court for the Western District of Missouri.

9. Severability and Complete Agreement

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that specific provision shall be deemed severable and shall not affect the validity, legality, and enforceability of any remaining provisions. These website Terms constitute the complete agreement between you and Virtue Medical Clinic regarding the use of the public website, and entirely supersede any prior web agreements. This document does not alter or replace any separate, written DPC Patient Membership Agreement or HIPAA Notice of Privacy Practices signed during patient enrollment.

10. Modifications to Terms

We reserve the right, at our sole discretion, to modify, update, or replace these Terms at any time to reflect changing operations, technologies, or legal obligations. All revisions will be posted directly to this page with an updated "Last Updated" timestamp. Continued use of the Site following the posting of modifications constitutes your binding acceptance of the updated Terms.
